Terms of Service
These Terms of Service govern use of Nordic Analytical Laboratories’ website and laboratory services, including sample submission, intake, testing, reporting, invoicing, and related client obligations.
These Terms of Service and Conditions of Use (“Terms”) govern the submission of samples to, and the use of the website and laboratory services provided by Nordic Analytical Laboratories (“Nordic,” “we,” “us,” or “our”). By using this website, requesting laboratory services, scheduling sample pickup, submitting samples, or otherwise engaging Nordic Analytical Laboratories, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use this website or submit samples for testing.
1. Laboratory Services
Nordic Analytical Laboratories provides cannabis and hemp laboratory testing and related services, including sample intake, analysis, reporting, consultation, and related support services, subject to these Terms and any additional written agreements between Nordic and the client.
All services are subject to laboratory capacity, sample acceptance criteria, regulatory requirements, operational limitations, and payment status.
2. Client Eligibility and Account Setup
Before any testing services will be performed, new clients must complete a New Client Form and provide any information reasonably requested by Nordic for onboarding, compliance, billing, and service administration.
Nordic reserves the right to refuse service, delay service, or suspend onboarding if required information is incomplete, inaccurate, or not provided in a timely manner.
3. Sample Submission Requirements
3.1 METRC Transfer Requirement
All samples must be transferred using the Seed to Sale program “METRC.”
Clients are solely responsible for ensuring that all transfers, manifests, package information, and other required regulatory information are entered accurately and completely in METRC, or in any successor system required by law or regulation.
3.2 Sample Intake Forms
The use of Sample Intake Forms with each submitted manifest is strongly recommended. Complete and accurate intake documentation helps avoid delays, intake discrepancies, and reporting issues.
Nordic may request additional documentation or clarification before accepting or processing samples.
3.3 Accuracy of Submitted Information
Clients are responsible for the accuracy of all information submitted to Nordic, including but not limited to:
- client name and contact information;
- METRC transfer and package information;
- sample identifiers;
- requested tests;
- billing information; and
- any regulatory or compliance-related information associated with the sample.
Nordic is not responsible for delays, errors, reporting issues, or additional work caused by inaccurate, incomplete, inconsistent, or missing information supplied by the client.
4. Sample Pick-Up and Delivery
All sample pick-ups should be scheduled with the laboratory at least one (1) hour prior to the desired pick-up time, unless otherwise approved by Nordic.
Exceptions may apply; please inquire with the laboratory directly.
Nordic does not guarantee immediate availability for sample pickup requests, rush requests, or unscheduled pickup requests. Pickup timing may be affected by laboratory workload, staffing, courier availability, traffic, weather, holidays, facility access restrictions, or other operational factors.
5. Acceptance, Rejection, and Processing of Samples
Nordic reserves the right to reject, delay, cancel, or suspend testing services for any sample or client, including but not limited to situations involving:
- incomplete or inaccurate submission information;
- missing or incorrect METRC transfer information;
- improper packaging, labeling, or chain-of-custody issues;
- sample condition issues;
- unpaid invoices or delinquent account status;
- suspected regulatory noncompliance;
- safety concerns; or
- circumstances in which Nordic determines it cannot reasonably or lawfully perform the requested services.
Acceptance of a sample by Nordic does not waive any client responsibility under these Terms or under applicable law.
6. Turnaround Times and Reporting
Any turnaround times provided by Nordic are estimates only unless expressly agreed otherwise in writing. Turnaround times may vary based on:
- sample volume;
- testing complexity;
- instrument availability;
- staffing;
- regulatory requirements;
- re-runs, quality control, or confirmatory testing;
- sample condition; and
- other operational or compliance factors.
Nordic will use commercially reasonable efforts to complete testing and reporting in a timely manner, but does not guarantee that any sample will be completed within a specific time unless expressly agreed in writing.
7. Fees, Invoices, and Payment Terms
7.1 Payment Due Date
All invoices must be paid within seven (7) days following the initial date of accrual unless otherwise discussed and agreed by Nordic.
7.2 Grace Period
All clients will be given a seven (7) day grace period after the initial payment deadline has passed to satisfy their balance.
7.3 Delinquent Accounts; Surcharges; Denial of Service
If a client’s balance is not satisfied within the allotted fourteen (14) days from the original invoice accrual date (consisting of the initial 7-day payment period plus the 7-day grace period), the client may be subject to:
- a 10% surcharge per invoice; and/or
- denial, suspension, or withholding of service until the outstanding balance is resolved.
Nordic reserves the right to suspend testing, refuse new sample intake, withhold reports to the extent legally permissible, or otherwise limit services on delinquent accounts.
7.4 MED Reporting of Delinquent Accounts
If no payment is received fourteen (14) days after the start of a company’s grace period, Nordic reserves the right to exercise any lawful remedy available to it, including reporting the company as delinquent to the MED, where permitted or required by law or regulation.
7.5 Client Responsibility for Charges
Clients are responsible for all charges associated with services requested or performed on their behalf, including re-testing, re-runs, additional reporting requests, rush requests, or other services requested by the client or necessitated by client-submitted errors or omissions, unless Nordic expressly agrees otherwise in writing.
8. Refusal or Suspension of Service
Nordic reserves the right to deny, suspend, or terminate services, in whole or in part, at any time, including for:
- delinquent payment status;
- repeated failure to comply with submission requirements;
- abusive, threatening, or unsafe conduct;
- suspected fraud or misrepresentation;
- suspected or actual noncompliance with applicable law or regulation; or
- any circumstance in which Nordic determines continued service is not appropriate or feasible.
9. Client Compliance Responsibilities
Clients are solely responsible for compliance with all applicable federal, state, and local laws, regulations, licensing requirements, and reporting obligations applicable to their operations and submitted samples, including all applicable cannabis and hemp regulations and any METRC-related obligations.
Nordic’s services do not relieve the client of its own compliance responsibilities.
10. Website Use
This website is provided for general informational and business purposes. You agree not to use the website:
- in violation of any applicable law or regulation;
- to interfere with the operation or security of the website;
- to attempt unauthorized access to any system, account, or data;
- to submit false, misleading, or fraudulent information; or
- in any manner that could damage Nordic, its systems, or other users.
Nordic may modify, suspend, restrict, or discontinue all or any portion of the website at any time without notice.
11. Intellectual Property
All content on this website, including text, graphics, logos, branding, page design, software, and other materials, is the property of Nordic Analytical Laboratories or its licensors and is protected by applicable intellectual property laws.
No content from this website may be copied, reproduced, distributed, republished, displayed, or used without Nordic’s prior written permission, except as otherwise permitted by law.
12. Disclaimer of Warranties
To the fullest extent permitted by law, the website and Nordic’s services are provided on an “as is” and “as available” basis.
Nordic disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted operation, except to the extent such disclaimers are prohibited by law.
Nothing in these Terms shall be construed as a guarantee of a particular testing outcome, business result, regulatory result, or operational outcome for the client.
13. Limitation of Liability
To the fullest extent permitted by law, Nordic Analytical Laboratories shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to lost profits, lost business opportunities, lost data, business interruption, regulatory consequences, or reputational harm arising out of or related to:
- the use of this website;
- sample submission or testing services;
- delays in testing or reporting;
- rejection or suspension of services;
- errors in client-submitted information;
- METRC errors or omissions attributable to the client; or
- reliance on testing results or reports beyond their intended use.
To the fullest extent permitted by law, Nordic’s total aggregate liability arising out of or related to the services or these Terms shall not exceed the total amount actually paid by the client to Nordic for the specific services giving rise to the claim.
14. Indemnification
The client agrees to defend, indemnify, and hold harmless Nordic Analytical Laboratories and its owners, officers, employees, contractors, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- the client’s breach of these Terms;
- the client’s violation of law or regulation;
- inaccurate or incomplete information supplied by the client;
- the client’s use of Nordic’s website or services; or
- the client’s products, operations, transfers, submissions, or regulatory compliance obligations.
15. Privacy and Communications
Information submitted through the website, client forms, sample intake documents, email, or other communications may be used by Nordic for client onboarding, service delivery, billing, compliance, customer support, and internal business operations.
Clients are responsible for ensuring that contact information on file with Nordic is current and accurate. Nordic may rely on the most recent contact information provided by the client for communications relating to testing, reporting, billing, account status, and service updates.
16. Changes to Terms
Nordic may update or revise these Terms from time to time. Updated Terms will become effective when posted to the website unless otherwise stated. Continued use of the website or continued use of Nordic’s services after updated Terms are posted constitutes acceptance of the revised Terms.
17. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of laws principles.
Any dispute arising out of or relating to these Terms, the website, or Nordic’s services shall be brought in a court of competent jurisdiction located in Colorado, unless otherwise required by law or agreed by the parties in writing.
18. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.
19. Entire Agreement
These Terms constitute the general terms governing use of Nordic’s website and laboratory services, together with any additional service agreements, account documents, price schedules, policies, forms, or written communications expressly incorporated by reference or otherwise agreed between Nordic and the client.
